Terms of service
These terms explain the rules for using Stronux: your account, the spaces you join or run, and payments. By creating an account or using Stronux, you agree to them.
1. About these terms
Stronux is operated by Devesoft LLC, a Florida limited liability company ("Stronux", "we" or "us"). These Terms of Service ("Terms") govern your use of stronux.com, your Stronux account and every space hosted on Stronux, including spaces on a creator's own domain (together, the "Service").
By creating an account, joining a space, buying something on Stronux or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you use the Service on behalf of a business or organization, you confirm that you can accept these Terms for it, and "you" includes that organization.
If you do not agree with these Terms, do not use the Service.
2. Key terms
In these Terms:
- Space: an online school, community or program that a creator runs on Stronux, with its own name, address (stronux.com/{handle} or its own domain), content, prices and policies.
- Creator: the person or business that creates and runs a space, including the staff they add to help run it.
- Member: anyone who joins a space, for free or by buying access.
- Content: anything uploaded, written or published on the Service, such as courses, lessons, videos, files, posts, comments, images and profile information.
3. Your Stronux account
One Stronux account works on stronux.com and in every space you join. Creating an account is free and does not, by itself, give you access to any course or paid content: each space decides who can access what.
You must give accurate information, keep your password safe and tell us right away at contact@stronux.com if you think someone used your account without permission. You can turn on two-step verification with an authenticator app in your account settings, and we recommend it. You are responsible for what happens under your account.
You can delete your account at any time from Settings → Account (stronux.com/settings/account) or from Profile → Delete account in the Stronux app. Cancel your active subscriptions first and, if you own an active space, close it or hand it over to someone else first. Our Privacy Policy explains what happens to your information when you delete your account.
4. Who can use Stronux
To create an account and join spaces as a member, you must be at least 13 years old, or older if the law where you live requires it (for example, 16 in some countries of the European Economic Area, unless a parent or guardian consents).
If you are under 18, or under the age of majority where you live, you may use the Service only with the involvement of a parent or legal guardian, who must agree to these Terms and make or approve any purchase.
To create or run a space, receive payments through Stronux or join the partner program, you must be at least 18 years old, or the age of majority where you live if it is higher.
You may not use the Service if we have previously closed your account for breaking these Terms, or if the law does not allow you to use it, including sanctions laws.
5. Spaces and creators
Each space is run by its creator, an independent person or business, not by Stronux. The creator decides what the space offers, who can join, what it costs and its rules. Each space can have its own terms, privacy policy, cookie policy and refund policy, linked at the bottom of the space. When you join or buy in a space, those policies govern your relationship with that creator, in addition to these Terms.
Stronux provides the technology that hosts spaces. We do not create, review in advance or endorse what creators offer, and we are not a party to the agreement between a creator and its members. Questions about a course, a live session, a certificate or a refund go first to the creator of that space.
Certificates are issued by the creator of the space. Stronux hosts them and offers a public page where anyone with a certificate's link or ID can check that it is genuine. Stronux does not accredit or vouch for any course or certificate.
6. If you run a space
If you create or run a space, you also agree that:
- You are at least 18 years old, or the age of majority where you live if it is higher.
- You are responsible for your space, your content and your offers, for the accuracy of what you say about them and for delivering what you sell.
- You will publish your own terms, privacy policy and refund policy for your members (Stronux gives you a place to do it) and follow the laws that apply to your business, including consumer protection, tax, accessibility, privacy and data protection laws.
- For your members' information, you decide why and how it is used in your space, and Stronux processes it on your behalf to run the Service, as our Privacy Policy explains. You will use that information only for your space, in line with your privacy policy and the law.
- You decide who is on your staff and what they can do, and you are responsible for what your staff do in your space.
- To help you, or to keep the Service safe, Stronux support may open time-limited access to your space. This access is recorded and ends automatically.
- Your space's handle and name must not infringe anyone's rights or mislead people. We may reclaim a handle that does.
7. Payments, plans and fees
Purchases in a space. Payments in spaces are processed by Stripe. Each creator connects their own Stripe account, and each sale is made by the creator: the creator is the seller, sets the price and is responsible for taxes, receipts and refunds, under the creator's refund policy. Stronux is not the seller of creators' products. Stripe's terms apply to payment processing.
Plans for creators. Running a space may require a paid Stronux plan. Plans, prices and platform fees are listed at stronux.com/prices. Plans renew automatically every billing period until you cancel, and a cancellation takes effect at the end of the current period. Some features may be sold separately, with their terms shown when you buy them. Except where the law requires otherwise, amounts already paid to Stronux are not refunded. Section 13 explains what happens to your space when your plan ends.
Platform fees. Stronux charges a platform fee on sales made in your space, as listed at stronux.com/prices for your plan. Stripe deducts it automatically at the time of each sale. You authorize Stronux to collect that fee. You are responsible for the refunds, chargebacks and payment losses on your sales.
Holds, reserves and recovery. Stronux or Stripe may delay or hold your payouts, or require a reserve, while we look into suspected fraud, a high rate of disputes or a breach of these Terms. Stronux may recover refunds, chargebacks, payment losses and other amounts you owe under these Terms by deducting them from your future payouts, by debiting the balance of your connected Stripe account through Stripe, or by sending you an invoice.
Price changes. We may change plan prices and fees. We will tell you by email or in the product at least 30 days before a price increase applies to your plan. If you do not agree, you can cancel before the change takes effect.
Taxes. Prices may not include taxes. Each party is responsible for its own taxes.
8. Partner program
Stronux may offer a partner program in which people who refer new creators to Stronux earn commissions. Spaces may also run their own affiliate programs for their products; those programs are between the creator and their affiliates.
You must be at least 18 years old, or the age of majority where you live if it is higher, to join the partner program. Commissions, tiers, the minimum payout and payment timing are shown in your Commissions and Earnings pages, and may change for the future. Commissions are paid through Stripe, so you need a Stripe account in good standing to receive them. We may hold or reverse commissions for refunded, disputed or fraudulent sales, self-referrals or spam. Referrals are tracked with the stronux_ref cookie described in our Cookie Policy.
9. Your content
You keep ownership of the content you create and upload. Stronux does not claim ownership of it.
So that we can run the Service, you give Stronux a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, to convert videos or create thumbnails), display and distribute your content, only as needed to operate, secure and improve the Service, to show it to the people you choose (for example, the members of your space, or everyone for public pages) and, if your space is public, to feature it within Stronux (for example, in Explore). This license ends when you delete the content or your account, except for copies kept in backups for a limited time, content others have already shared, and what we must keep by law.
You confirm that you have the rights you need to the content you upload and that it does not break these Terms or the law.
Feedback. If you send us ideas or suggestions about Stronux, you keep any ownership you have in them, and you give Stronux a non-exclusive, perpetual, royalty-free license to use them freely, for any purpose, without any obligation to you.
10. Acceptable use
You may not use Stronux to:
- break the law or help others break it;
- upload content you do not have the right to share, or that infringes anyone's copyright, trademark, privacy or other rights;
- harass, threaten, bully or discriminate against people, or post hateful, violent or sexually explicit content;
- post, share or ask for child sexual abuse material, or any content that sexualizes minors;
- mislead people, including fake offers, false claims about results or income, scams, phishing or impersonating another person or organization;
- sell or promote illegal or dangerous goods or services, or anything that Stripe does not allow;
- send spam or unwanted messages, or collect other people's information without their consent;
- upload malware, test or break our security, overload the Service, or access it by automated means (such as scraping or bots) except through features we provide;
- copy, resell or reverse-engineer the Service, or use it to build a competing product.
Creators set and moderate the rules of their own communities, within these Terms. We may remove content, limit features or take the other steps in section 13 when we believe these Terms are being broken. We remove child sexual abuse material and report it to the National Center for Missing & Exploited Children (NCMEC), as the law requires.
11. Reporting content and copyright complaints (DMCA)
If you see content on Stronux that breaks these Terms, tell the creator of the space or write to us at contact@stronux.com.
Stronux follows the notice-and-takedown process of the U.S. Digital Millennium Copyright Act (DMCA). Our designated agent receives copyright notices and counter-notices at legal@stronux.com and at the postal address listed in the U.S. Copyright Office's DMCA designated agent directory.
If you believe content on Stronux infringes your copyright, send our agent a notice with: your physical or electronic signature; the copyrighted work you believe is infringed; the content you want removed and the link where it appears; your name, address, phone number and email; a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner. We may remove the content and send your notice to the person who posted it. If you knowingly misrepresent that content is infringing, you may be liable for damages.
If your content was removed and you believe it was a mistake or a misidentification, you can send our agent a counter-notice with: your physical or electronic signature; the content that was removed and the link where it appeared; a statement, under penalty of perjury, that you believe in good faith that it was removed by mistake or misidentification; your name, address, phone number and email; and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you live outside the United States, of any judicial district where Stronux may be found) and that you will accept service from the person who sent the original notice. We send your counter-notice to that person and restore the content within 10 to 14 business days after we receive it, unless that person tells us that they have filed a court action to stop the infringement.
We close, in appropriate circumstances, the accounts of people who repeatedly infringe copyright.
12. Third-party services
The Service works with services from other companies, such as Stripe for payments and, if a creator connects it, Google to create Google Meet links for live sessions. Your use of those services is governed by their own terms. We are not responsible for third-party services or for websites that a space links to.
13. Suspension and termination
You can stop using Stronux at any time and delete your account from Settings → Account or from Profile → Delete account in the Stronux app, after you cancel your active subscriptions. Creators can close their space.
When a creator closes their space, or their plan is cancelled and ends, the space goes offline for its members and the public. For 30 days after that, the creator can ask for a copy of their content and their members list by writing to contact@stronux.com. After those 30 days, Stronux deletes the space and its content, except copies kept in backups for a limited time and what the law requires us to keep. Members, including those who paid, no longer have access to the space unless the creator arranges otherwise; the creator is responsible to their members under the creator's own terms and refund policy.
We may suspend or close an account or space, remove content or limit access if you break these Terms or the law, if fees you owe are not paid, if the law requires it, or if it is needed to protect members, creators, Stronux or others. When it is reasonable, we will tell you first and give you a chance to fix the problem; in serious cases (such as fraud, security risks or illegal content) we may act right away.
If we close a paid space for a reason other than a breach of these Terms, we will give the creator reasonable notice so they can tell their members. The parts of these Terms that by their nature should continue after termination (such as amounts owed, disclaimers, limits of liability and indemnity) stay in effect.
14. Changes to the Service and to these Terms
We keep improving Stronux, so features may change, be added or be removed.
We may update these Terms. If a change is material, we will tell account holders by email or in the product at least 30 days before it takes effect, unless the change is required by law or needed for security, in which case it may take effect sooner. The "Last updated" date at the top shows when these Terms last changed. If you keep using the Service after a change takes effect, you accept the updated Terms; if you do not agree, you can delete your account.
15. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, Stronux disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and does not promise that the Service will be uninterrupted, error-free or secure, or that any content will be accurate.
Stronux does not promise any result from a course, community or program offered in a space, including learning, career or income results. Names and trademarks of other companies that appear in a space belong to their owners and do not mean that Stronux is affiliated with them. Some places do not allow these disclaimers, so some of them may not apply to you.
16. Limitation of liability
To the fullest extent the law allows, Stronux and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Service or these Terms, even if we were told they were possible.
To the fullest extent the law allows, Stronux's total liability for all claims related to the Service or these Terms is limited to the greater of (a) the amounts you paid to Stronux in the 12 months before the event that gave rise to the claim, or (b) US$100. Payments you made to creators are not amounts paid to Stronux.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or, where applicable, for death or personal injury caused by negligence. If you are a consumer in a country that gives you rights that cannot be waived, these Terms do not take those rights away.
17. Indemnity
If you run a space or publish content, you agree to defend and compensate Stronux and its affiliates, officers and employees for third-party claims, losses and costs (including reasonable legal fees) arising from your content, your space, your sales to members, or your breach of these Terms or the law. This does not apply to consumers where local law does not allow it.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict of laws rules. Any dispute arising from these Terms or the Service will be decided exclusively by the state or federal courts located in Lee County, Florida, and you and Stronux agree to the jurisdiction of those courts.
Before filing a claim, please write to us at contact@stronux.com so we can try to solve the problem informally within 30 days.
If you are a consumer living outside the United States, you keep the protection of the mandatory laws of your country and may bring claims in your local courts where the law allows.
19. General
These Terms, together with the policies they mention, are the entire agreement between you and Stronux about the Service. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition or sale of assets, and we will tell you if that happens. Neither party is responsible for delays caused by events beyond its reasonable control.
If these Terms are translated, the English version prevails to the extent the law allows.
